Vintora Service Levels
I. Purpose
This Scope of Work (“SOW”) outlines the service levels, pricing structure, responsibilities, and limitations associated with services provided by Vintora. This SOW is incorporated into, and subject to, the Terms and Conditions between Vintora and Customer (the “Agreement”). In the event of a conflict between this SOW and the Agreement, the Agreement will control unless this SOW expressly states otherwise. Vintora’s role under this SOW is limited to administrative support services, including documentation preparation and application filing assistance.
II. Service Levels and Pricing
Level 1: Starter
- 1–2 Users
- $5.99 per month
- Services include basic onboarding support, standard documentation preparation, and application filing assistance.
Level 2: Standard
- 3–4 Users
- $14.99 per month
- Services include all Starter-level services, plus enhanced documentation review and administrative coordination for multiple users.
Level 3: Growth
- 5–9 Users
- $29.99 per month
- Services include all Standard-level services, expanded onboarding assistance, multi-user documentation handling, and workflow coordination support.
Level 4: Enterprise
- 10+ Users
- Custom pricing, as agreed in writing by the parties
- Services include all Growth-level services, along with customized onboarding, scalable documentation processing, and enhanced administrative coordination.
For Enterprise-level engagements, Vintora will conduct an operational capacity review before confirming the applicable scope, timeline, and pricing in an Order or other written amendment signed by the parties. While Vintora welcomes larger client engagements, including those exceeding 750 users, services at that scale are subject to confirmation that the requested services fall within Vintora’s operational capabilities. Based on that review, Vintora may propose reasonable adjustments to scope, timelines, or pricing, which will become effective only upon mutual written agreement.
III. Scope of Services
Vintora’s services are limited to administrative support functions, including:
- Preparation of documentation
- Assistance with application completion
- Submission and filing support
- Administrative coordination related to paperwork processing
Vintora does not provide legal advice, tax advice, accounting advice, regulatory interpretation, or compliance consulting, and nothing in this SOW modifies Customer’s responsibility under the Agreement to determine the suitability of the services for Customer’s business, licensing, or regulatory requirements.
IV. Licensing Requirements
Customer is solely responsible for ensuring that all agents, users, and other personnel utilizing Vintora’s services are properly licensed, certified, or otherwise authorized before engaging in any activities requiring licensure or other authorization. Customer is solely responsible for obtaining and maintaining all required licenses, certifications, registrations, and approvals.
V. Liability and Responsibility
Vintora’s role under this SOW is strictly administrative in nature. To the maximum extent permitted by applicable law, Vintora’s total cumulative liability to any client arising out of or related to this SOW shall not exceed the total fees paid by such client to Vintora in the three (3) months immediately preceding the claim. Subject to the Agreement, Vintora is not responsible for:
- Legal claims arising from the acts or omissions of Customer, its agents, or its users
- Licensing compliance or regulatory obligations
- Denial, approval, or processing timelines of submitted applications
- Business or operational outcomes related to services
Customer remains solely responsible for the acts and omissions of its agents, users, and other personnel utilizing the services, and for ensuring that such persons are licensed, certified, and compliant before conducting any business activities.
VI. Assumptions
- Clients will provide accurate and complete information. If a client provides inaccurate or incomplete information, Vintora shall not be liable for any resulting errors, delays, or rejections, and Vintora reserves the right to charge additional fees for rework required as a result.
- Timelines depend on timely client cooperation.
- Additional services outside this SOW may require a separate Order, statement of work, or other written agreement.
VII. Modifications
This Scope of Work may be modified only by mutual written agreement signed by both parties. Enterprise-level services may require additional terms, scope descriptions, or pricing in an Order or written amendment based on operational review.
